Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the Halcyon SaaS platform available at https://www.halcyon.us (the "Service"). The Service is owned, operated, and maintained by Halcyon LLC ("Halcyon", "we", "us", or "our"), a company based in Texas at 500 W 2nd St Suite 1900, Austin, TX 78701.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you must refrain from accessing or using the Service.

1. Description of Service

Halcyon provides business insight software delivered as a subscription-based Software as a Service ("SaaS") platform. The Service includes tools for analytics, reporting, and insights to support business decision-making. Access to the Service is granted via user accounts and governed by these Terms.

2. License and Access

2.1. Subject to your compliance with these Terms, Halcyon grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for its intended purpose.

2.2. You may not:

• Copy, modify, or create derivative works of the Service.
• Reverse-engineer, decompile, or disassemble the Service.
• Use the Service to violate applicable laws or regulations.
• Share login credentials or allow unauthorized third parties to access the Service.

3. Subscription and Billing

3.1. Access to the Service is provided on a subscription basis. Subscription fees are billed in advance on a monthly or annual basis, as selected during the registration process.

3.2. By providing payment information, you authorize Halcyon to charge your payment method for all applicable fees. You are responsible for maintaining accurate billing information.

3.3. Halcyon reserves the right to modify subscription fees with at least 30 days' notice prior to the change taking effect.

4. Data Ownership and Privacy

4.1. You retain ownership of any data or content you upload to the Service ("Customer Data"). By using the Service, you grant Halcyon a non-exclusive license to process your Customer Data as necessary to provide the Service.

4.2. Halcyon takes data privacy and security seriously. Our use of Customer Data is governed by our Privacy Policy.

4.3. You are responsible for ensuring that Customer Data does not violate applicable laws or third-party rights.

5. Service Availability and Support

5.1. Halcyon will use commercially reasonable efforts to provide reliable access to the Service. However, we do not guarantee uninterrupted availability or that the Service will be error-free.

5.2. Scheduled maintenance, updates, or unforeseen technical issues may temporarily impact access to the Service. Halcyon will endeavor to notify users in advance of planned disruptions.

6. Intellectual Property

6.1. The Service, including all software, designs, logos, trademarks, and other intellectual property, is owned by or licensed to Halcyon. These materials are protected by applicable intellectual property laws.

6.2. Except as expressly permitted in these Terms, you may not use Halcyon's intellectual property without prior written consent.

7. Termination

7.1. Halcyon may terminate or suspend your access to the Service immediately, without prior notice or liability, if you breach these Terms or engage in prohibited activities.

7.2. Upon termination, your right to access the Service will cease immediately. Provisions of these Terms that, by their nature, should survive termination shall remain in effect, including data ownership, limitations of liability, and governing law.

8. Limitation of Liability

8.1. To the fullest extent permitted by law, Halcyon shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

8.2. Halcyon's total liability for any claims arising under these Terms is limited to the amount you have paid to us in the twelve months preceding the claim.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

10. Changes to Terms

Halcyon reserves the right to modify these Terms at any time. Material changes will be communicated at least 30 days before they take effect. By continuing to use the Service after changes become effective, you agree to be bound by the revised Terms.
